General Terms and Conditions Waste Warrior B.V.

Article 1 - Definitions

In these General Terms and Conditions, the following definitions apply:

Article 2 - Scope

  1. These general terms and conditions apply to all offers, quotations, agreements, and deliveries of Waste Warrior, unless explicitly agreed otherwise in writing.
  2. By entering into an agreement with Waste Warrior, the Client accepts the applicability of these general terms and conditions.
  3. Deviations from these general terms and conditions are only binding if expressly agreed in writing.

Article 3 - Products and Services

  1. Waste Warrior provides tools and solutions to restaurants and caterers to reduce food waste.
  2. For the implementation of Waste Warrior at the Client, a one-time implementation fee of €250 will be charged.
  3. The Client pays Waste Warrior a fee of €1 per customer response on the platform.

Article 4 - Contract Conditions

  1. The Client may terminate, pause, or resume the agreement at any time, without notice period.
  2. Upon resumption of the agreement, the Client remains bound to the previously agreed conditions, unless otherwise agreed in writing.

Article 5 - Payment Terms

  1. Waste Warrior invoices the Client monthly for the services provided.
  2. The payment term for each invoice is one (1) month after the invoice date.
  3. In case of late payment, Waste Warrior is entitled to charge statutory interest and transfer the claim to a collection agency, with collection costs borne by the Client.

Article 6 - Liability and Force Majeure

  1. Waste Warrior is only liable for direct damage resulting from intent or gross negligence on the part of Waste Warrior.
  2. Waste Warrior is not liable for indirect damage, such as consequential damage, lost profits, or data loss.
  3. In case of force majeure, including but not limited to communication network failures, pandemics, or natural disasters, Waste Warrior is not obligated to fulfill the agreement and may suspend or terminate the agreement without being liable for damages.

Article 7 - Complaints Procedure

  1. Complaints about Waste Warrior’s services must be submitted in writing via info@waste-warrior.com.
  2. Waste Warrior will respond within five (5) working days after receipt of the complaint.

Article 8 - Data Protection

  1. Waste Warrior processes the Client’s personal data in accordance with applicable privacy legislation.
  2. Personal data is not kept longer than necessary for the execution of the agreement and compliance with legal obligations.
  3. After termination of the agreement and settlement of all outstanding invoices, Waste Warrior will delete the Client’s personal data.
  4. Waste Warrior retains business information such as Business ID, restaurant name, and menu to facilitate the creation of a new account, unless the Client requests otherwise.
  5. Invoices and other financial data will be retained for at least seven (7) years in accordance with legal obligations.

Article 9 - Dispute Resolution

  1. All legal relationships between Waste Warrior and the Client are governed by Dutch law.
  2. All disputes arising from or related to agreements between Waste Warrior and the Client shall be submitted to the competent court of The Hague, unless mandatory law dictates otherwise.
  3. Waste Warrior reserves the right to unilaterally amend these general terms and conditions. The latest version of the general terms and conditions is always available on the Waste Warrior website.

Article 10 - Changes to the General Terms and Conditions

  1. Waste Warrior is entitled to amend these general terms and conditions. The Client will be informed of such changes in a timely manner.
  2. If the Client does not agree with the amended terms, they have the right to terminate the agreement.
